Terms of service

These terms govern your use of indexa.now and the Indexa service. Indexa is a product of Barikreativa (“we”, “us”). By using the website or engaging the service you agree to these terms. Questions: ivan@barikreativa.com.
The service
Indexa is a managed AI search & discovery service for Shopify stores — it is not self-serve software. We provision a dedicated search instance, sync your catalog, integrate it with your storefront, and tune relevance on an ongoing basis. The specifics of each engagement — scope, catalog, integrations and support — are agreed in a separate order or proposal, which prevails over these terms where they differ.
Website vs. engagement
- The public website, the free search audit and any demo content are provided “as is”, for information only, with no commitment.
- A paid engagement begins only once we and you agree a written order. These terms then apply alongside that order.
Fees
The service is charged as a one-time setup fee plus a recurring monthly retainer covering hosting, monitoring, reindexing and ongoing tuning, as stated in your order. Retainers are billed in advance and are month-to-month unless agreed otherwise. There is no pay-per-request charge.
Your responsibilities
- Give us the access we need to your Shopify store and catalog to set up and run the service.
- Ensure you have the right to share the catalog and content you provide.
- Use the service lawfully and not attempt to disrupt, overload, or reverse-engineer the underlying infrastructure.
Data & ownership
You own your catalog, content and search data. We process it to run the service — see our Privacy policy. We own the Indexa software, configuration and tooling we build to deliver the service. On termination you can export your data and we remove your instance within a reasonable period.
Availability
We aim for high availability and design search to degrade gracefully — from semantic to keyword to native Shopify search — so your store keeps a working search bar even if a layer is unavailable. Any specific service levels are set out in your order. We are not liable for downtime of third-party platforms (e.g. Shopify, hosting providers) outside our control.
Warranties & liability
Except as expressly stated in your order, the service is provided without warranties of any kind. To the extent permitted by law, our total liability arising from the service is limited to the fees you paid in the three months before the event giving rise to the claim, and we are not liable for indirect or consequential loss, including lost profits or revenue.
Term & termination
Either party may end a month-to-month engagement with reasonable notice as set out in the order. We may suspend or terminate access for non-payment or material breach. Sections on data, ownership, and liability survive termination.
Governing law
These terms are governed by Italian law, and the courts of Italy have jurisdiction, without prejudice to any mandatory consumer protections that may apply to you.
Changes
We may update these terms; the “last updated” date shows the current version. Material changes affecting an active engagement will be communicated to you.
